ARTICLES OF INCORPORATION

THE EASTWOOD LAFAYETTE CONDOMINIUM ASSOCIATION INC.

KNOW ALL MEN BY THESE PRESENTS :

That we, all of legal ages, residents and citizens of the Philippines have this day voluntarily associated ourselves together for the purpose of forming a nan-stock non-profit corporation under the provisions of Republic Act NO. 4726 and other pertinent laws of the Republic of the Philippines :

AND WE HEREBY CERTIFY :

FIRST : That the name of the Corporation shall be :

THE EASTWOOD LAFAYETTE CONDOMINIUM ASSOCIATION INC.

SECOND : That the purpose or purposes for which the Corporation is formed are :

• (a)    to own or hold title to the common areas in the condominium project known and identified as (the "Project") which has been constituted pursuant to the provisions of Republic Act No. 4726 (the "Condominium Act') on the property described in and brought under the operation of said Condominium Act by the Master Deed with Declaration of Restrictions executed on August 27. 2002 by Megaworld Corporation and Empire East Land Holdings, Inc. and acknowledged on September 2. 2002 before Notary Public Atty. Garry V. de Guzman of Makati City, Metro Manila. PhilippT,es as Doc No. 053 Page No. 12 800k No. XV; Series of 2002 (the "Master Deed"); and,

• (b)    to manage the said Project pursuant to and in accordance with the of the said Condominium Act and the Master Deed, as well as the following incidental powers or purposes, to wit :

• a)    To adopt such measures as may be necessary for the protection and safeguard of the unit owners and their property in the Project, including the power to contract for security services for the entire Project and, in accordance with the Master Deed the Project, to obtain and maintain insurance coverage on the entire Project ;

• b)    To make and adopt needful rules and regulations concerning the proper use, enjoyment and occupancy of all the units and common areas in the Project, and to fix penalties, by way of liquidated damages, for any violation thereof ;

• c)    To provide for the maintenance, repair, sanitation and cleanliness of the common areas of the Project, as well as for the beautification and betterment thereof or other improvements and additions thereto, and for its reconstruction, restoration or repair
